Welcome to Simi Circle ("we," "our," or "us"). By accessing or using the Simi Circle mobile application and related services (collectively, the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the App after any changes constitutes your acceptance of the new Terms.
Simi Circle is a community-focused rewards app that connects users with local Simi Valley businesses. The App provides:
Simi Circle is an aggregator. Business listings, hours, offers, and events shown in the App are supplied by the businesses and organizers themselves or collected from publicly available sources. We do not organize, host, sponsor, or operate the events listed, and we do not verify every listing. See Section 12.3.
You must be at least 13 years old to use Simi Circle. By using the App, you represent and warrant that you meet this age requirement. If you are under 18, you must have your parent or guardian's permission to use the App.

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.
Users earn points through various activities within the App, including:
Points are used only for in-App features such as community voting and rallies. Points have no cash value and cannot be redeemed for cash, gift certificates, discounts, or merchandise, and cannot be transferred, sold, or exchanged. We reserve the right to modify point values and point uses at any time.
A registered account is required to spend points or participate in community voting. Guest users may browse the App and accumulate local activity, but must create an account before spending points.
Points may expire if your account remains inactive for an extended period. We will provide reasonable notice before expiring any points.
The App may offer raffles or prize drawings in which entries are earned through in-App activity. NO PURCHASE IS NECESSARY to enter or win, and a purchase does not increase your chances of winning. Raffles are open only to eligible users in our service area, are void where prohibited by law, and are subject to the specific rules published for each drawing, including entry periods, prize descriptions, and winner selection. Winners may be required to verify their identity and eligibility before receiving a prize. Prizes are not transferable and may not be exchanged for cash unless required by law.
Any attempt to manipulate the points system, including but not limited to using automated systems, creating multiple accounts, or engaging in fraudulent activities, will result in immediate account termination and forfeiture of all points.

Simi Circle acts as a platform connecting users with local businesses. We are not responsible for the quality, availability, or delivery of goods or services provided by merchants. Any disputes regarding products or services should be resolved directly with the merchant.

We are not responsible for the content of advertisements or sponsored videos. Third-party advertisers are solely responsible for their content and offers.
The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Simi Circle, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial use. This license does not include any right to:

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SIMI CIRCLE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS, WHICHEVER IS GREATER.
The App aggregates information about local events, businesses, hours, offers, and other listings ("Listings") from third parties, including businesses, event organizers, schools, public calendars and websites, and community members who submit content. Simi Circle does not create, organize, host, sponsor, promote, or operate any event shown in the App unless expressly stated, and is not a party to any transaction between you and a business or organizer.
Listings may be incomplete, inaccurate, or out of date, and events may be changed, moved, cancelled, sold out, or subject to admission fees, age limits, or other conditions without notice to us. You are responsible for confirming details directly with the business or organizer before relying on them or attending.
TO THE FULLEST EXTENT PERMITTED BY LAW, SIMI CIRCLE DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR (A) ERRORS OR OMISSIONS IN ANY LISTING; (B) THE CONDUCT, SAFETY, QUALITY, LEGALITY, OR OCCURRENCE OF ANY EVENT; (C) ANY GOODS, SERVICES, OR CONTENT PROVIDED BY A BUSINESS, ORGANIZER, OR OTHER THIRD PARTY; AND (D) ANY LOSS, INJURY, OR DAMAGE ARISING FROM YOUR ATTENDANCE AT AN EVENT OR RELIANCE ON A LISTING. Attendance at any event is at your own risk. Any dispute about an event or listing must be resolved directly with the business or organizer.

You agree to indemnify, defend, and hold harmless Simi Circle, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
Simi Circle is designed for users in Simi Valley, California, and surrounding areas. We make no representation that the App is appropriate or available for use in other locations. If you access the App from outside our target area, you do so at your own risk and are responsible for compliance with local laws.
These Terms and your use of the App are governed by the laws of the State of California, without regard to its conflict of law principles.
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at info@simicircle.com. We will attempt to resolve the dispute informally by contacting you via email.
Any dispute arising out of or relating to these Terms or your use of the App that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in Ventura County, California.
You agree that any arbitration or proceeding shall be limited to the dispute between you and Simi Circle individually. To the fullest extent permitted by law, you agree that no arbitration or proceeding shall be joined with any other, and there is no right or authority for any dispute to be arbitrated or adjudicated on a class action basis.
We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the App.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Simi Circle regarding your use of the App and supersede all prior agreements and understandings.
